Terms of Service

These Terms of Service are an agreement between you and JW Labs LLC, doing business as Mealsio ("Mealsio," "we," "us," or "our"). By creating an account, subscribing to a Creator, purchasing Mealsio Pro, or otherwise accessing or using Mealsio (the "Service"), you agree to these Terms. If you do not agree, do not use the Service.

You must be at least 18 years old, able to form a legally binding contract, and located in the United States to use Mealsio. The Service is offered only to U.S. users during its prelaunch period and is not intended for anyone under 18.

Mealsio enables recipe creators ("Creators") to publish recipes and meal plans and offer premium content through monthly subscriptions ("Creator Subscriptions"). Creators set one monthly price for access to their premium content. Mealsio also offers an optional monthly subscription for Creators called "Mealsio Pro," which unlocks unlimited meal plans. The features and price shown at checkout are part of the applicable subscription offer.

For Creator Subscriptions, Mealsio provides technology and payment-facilitation services. The Creator is the independent seller and merchant of record, and the payment is processed as a direct charge to the Creator's connected Stripe account. Mealsio is not the seller of Creator content. Mealsio is the seller of Mealsio Pro.

Mealsio does not create, endorse, test, or guarantee Creator content. Creators are responsible for their content and relationships with Subscribers. Mealsio may enforce these Terms, investigate reports, coordinate support and refunds, and take steps needed to operate and protect the Service.

You must provide accurate information and keep your account secure. You are responsible for activity under your account and must promptly notify us of suspected unauthorized access.

Creator visibility settings control ordinary access to public pages: draft is owner-only; password requires the page password; unlisted is available to anyone with the link but is excluded from Mealsio's sitemap; and public may be listed and indexed. Unlisted links are not private, and public information may be copied, cached, shared, or indexed by others.

Creators are responsible for the content they publish, the accuracy of their storefront and subscription offer, customer support, refunds and disputes relating to their Creator Subscriptions, and compliance with applicable consumer, advertising, tax, and intellectual-property laws. Mealsio may remove content or suspend accounts that violate these Terms.

To receive payments, Creators must complete Stripe Connect onboarding and agree to the Stripe Connected Account Agreement. As the seller and merchant of record, each Creator is solely responsible for their own tax obligations, including reporting and remitting any applicable taxes on their earnings. Mealsio does not provide tax, legal, or accounting advice.

Mealsio collects an 8% application fee from each Creator Subscription payment. Stripe deposits the remainder in the Creator's connected account after Stripe's processing fees. Refunds, disputes, negative balances, and related Stripe fees may be debited from the Creator's connected account. Creators authorize Mealsio to coordinate approved refunds and to refund or reverse the related Mealsio application fee when appropriate.

Creator Subscriptions and Mealsio Pro automatically renew every month at the price disclosed at checkout until canceled. By completing checkout, you authorize the applicable merchant and Stripe to charge your payment method monthly.

A Creator's later price change applies only to new subscriptions. An existing Creator Subscription remains at its original price unless it ends and you subscribe again. We will provide any notice and obtain any consent required by law before changing the price of Mealsio Pro for an existing subscriber.

Subscribers may cancel Creator Subscriptions from My Subscriptions. Creators may manage or cancel Mealsio Pro through the Stripe billing portal linked from the Pro page. Cancellation stops future renewals and normally takes effect at the end of the current paid period, with access continuing until then. Refunds are governed by our Refund Policy.

You agree not to use Mealsio to publish, share, or do any of the following:

• Post content that is unlawful, infringing, or that you do not have the right to share.
• Upload sexually explicit, violent, hateful, or harassing material.
• Impersonate any person or entity or misrepresent your affiliation with one.
• Distribute spam or malware, or attempt to disrupt or gain unauthorized access to the Service.
• Use the Service to violate any applicable law or the rights of others.

We use automated image screening and may conduct manual review when content is reported or an enforcement decision is appealed. We may reject or remove content and suspend accounts that violate these Terms. Repeat copyright infringers are handled under our Copyright & DMCA Policy.

Recipes, nutritional information, ingredient lists, and dietary or allergen labels on Mealsio are provided by Creators, not Mealsio. We do not test, verify, or guarantee their accuracy, completeness, or safety.

You are responsible for determining whether a recipe is appropriate for you, including checking for allergens and following safe food-handling practices. If you have a food allergy or medical condition, consult a qualified professional. You prepare and consume any recipe at your own risk, and Mealsio is not liable for any adverse reaction or harm resulting from content found on the Service.

Creators retain ownership of their recipes and content. By publishing on Mealsio, Creators grant Mealsio a worldwide, non-exclusive, royalty-free license to host, store, cache, reproduce, index, adapt (for example, to create previews, thumbnails, and excerpts), display, and distribute their content: (a) to Subscribers as part of the paid Service; and (b) to the public in previews, search results, recommendations, and other discovery and promotional features intended to help people find Creators and content on Mealsio.

This license extends to service providers used to operate the Service. It ends when content is removed, except for copies reasonably retained in backups, security records, or caches and content already shared or indexed outside our control.

You may submit recipe text to the AI parser only if you created it or have permission to use it. You grant Mealsio permission to transmit that text to its AI service provider solely to provide and protect the feature. AI output may be incomplete or incorrect; you must review and edit it before publishing.

The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, Mealsio disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Mealsio does not warrant that the Service will be uninterrupted, secure, or error-free, or that any content — including recipes and Creator materials — is accurate, complete, or reliable. You use the Service and any content at your own risk.

To the maximum extent permitted by law, Mealsio and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Service.

In no event will Mealsio's total liability for all claims relating to the Service exceed the greater of the total amount you paid to Mealsio in the twelve months before the event giving rise to the liability, or one hundred U.S. dollars (US$100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

You agree to indemnify, defend, and hold harmless Mealsio and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) content you publish or share; (c) your violation of these Terms or any applicable law; or (d) your violation of the rights of any third party.

For Creators, this includes claims arising from your products, your content, your tax obligations, and your relationship with your Subscribers.

We may restrict, suspend, or terminate access when reasonably necessary to enforce these Terms, protect users or the Service, comply with law, or address fraud or security risk.

You may request account deletion through the Service or by contacting support. Deletion removes the account and public pages from normal use but does not automatically erase records we must retain for billing, disputes, fraud prevention, security, legal compliance, or backups. Content already shared, cached, or indexed by others may remain outside our control. Before deleting an account, you are responsible for canceling or resolving active Creator Subscriptions, Mealsio Pro, refunds, disputes, and payouts.

Before filing a claim against Mealsio, please contact support@mealsio.com and give us 30 days to attempt to resolve the concern informally. This requirement does not prevent either party from seeking urgent injunctive relief or using an eligible small-claims process.

These Terms and disputes relating to the Service are governed by New York law, without regard to conflict-of-laws rules. Subject to applicable consumer law and the Informal Dispute Resolution section, the state and federal courts serving Albany County, New York will have exclusive jurisdiction.

We may update these Terms. We will provide notice of material changes before they take effect and obtain renewed consent when required by law. Changes to recurring-subscription price or terms will receive the notice and consent required by applicable law. Continued use after an effective date constitutes acceptance only where permitted by law.

• Entire agreement. These Terms, together with the Privacy Policy, Refund Policy, and Copyright & DMCA Policy, are the entire agreement between you and Mealsio regarding the Service.
• Severability. If any provision is found unenforceable, the remaining provisions will remain in full force and effect.
• No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
• Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
• Force majeure. Mealsio is not liable for any delay or failure caused by events beyond its reasonable control.
